Preface

The consistent intent of the Government  to improve the ease of doing business rating of the country, without compromising the delicate equilibrium of the two competing factors namely, the Independence in managing a company and  the Executive regulation to protect the interest of investors, has resulted in the Company Law becoming a dynamic and frequently amended subject.

In order to have a comprehensive understanding of this complex subject, it needs to be covered from the 'Law' and 'Practice' approach, both. To come out with a Book having a fusion of Law and Practice and on a Law which is an enormous subject and also being continuously amended, is a task within itself, which has been tried to be achieved with utmost sincerity and accuracy.

The present book aptly titled "Company Law and Practice" is a unique combination of theoretical and practical aspects of the Company law. It not only provides a topical commentary on all the Chapters of the Companies Act, 2013 but also covers the related practical aspects in depth in their Secretarial Practice Part.

The Book is thoughtfully divided into 30 Chapters. Each Chapter covers a particular Topic in full. Apart from the working commentary sprinkled with important case laws on the subject, almost every chapter comprises Secretarial Practice relating to the topics concerned. The Secretarial Practice part on the specific topic includes all important Procedures, Specimen Resolutions, Specimen Minutes, Specimen Notices and Specimen Formats in that regard.

Allied Laws which are important for working of the Companies Act, 2013, like the Insolvency and Bankruptcy Code, SEBI Act, etc. along with their Rules and Regulations have also been covered in depth at relevant places in this Book.

All Latest and important Circulars, Notifications, Rules, Regulations and any other delegated legislations which need to be covered for the sake of comprehensiveness and reference are  also made part of this Book.

This Book is unique in the sense that it cumulates both Theory and Practice at one place, a must for serious Learners and Practitioners of Company Law. We are sure that it would be of immense utility to Company Secretaries, Chartered Accountants and other Practitioners of Company Law.

Readers' suggestions, criticism and opinions are welcome and would be given due consideration in further editions of this Book.
